Constitution

1. Name
The name of the Charitable Incorporated Organisation (CIO) is Titchfield Village Trust (TVT).

2. Registered Office
The principal office of the Trust shall be located in England.

3. Objectives
TVT is established for the public benefit with the following objectives:

  • To promote and protect the historical, architectural, and environmental heritage of Titchfield and its surrounding area.

  • To enhance and preserve the character of Titchfield for present and future generations.

  • To support community-led initiatives that contribute to sustainability, well-being, and local engagement.

  • To collaborate with residents, businesses, and authorities in furtherance of these aims.


4. Powers
In furtherance of its objectives, TVT has the power to:

  • Raise and manage funds, including accepting donations and grants.

  • Acquire, manage, and dispose of property or assets.

  • Engage in lawful activities that promote the Trust’s aims.

  • Work with other organisations, including forming partnerships or affiliations.

  • Employ staff or volunteers as necessary.


5. Membership

  • Membership is open to individuals who support the aims of TVT.

  • A member may resign at any time by notifying the Trustees.

  • The Trustees may refuse or revoke membership if a member acts in a way that is harmful to TVT’s interests.

  • Members have voting rights at General Meetings, including the Annual General Meeting (AGM).
     

6. Trustees and Governance

6.1 Appointment of Trustees

  • TVT shall be governed by a Board of Trustees, who are responsible for overseeing its management and strategic direction.

  • Trustees are elected by members at the AGM and serve a term of three years, after which they may seek re-election.

  • The Board may co-opt additional Trustees to fill vacancies, subject to ratification at the next AGM.
     

6.2 Responsibilities of Trustees
The Trustees shall:

  • Ensure compliance with charity law and financial regulations.

  • Oversee the Trust’s activities, finances, and policies.

  • Act in the best interests of TVT and its members.

  • Maintain proper records of meetings, decisions, and financial transactions.


6.3 Removal of Trustees
A Trustee may be removed by a majority vote of the Board if they:

  • Fail to fulfil their duties.

  • Act in a manner contrary to TVT’s interests.

  • Are disqualified under charity law.


7. Meetings and Decision-Making
7.1 Annual General Meeting (AGM)

  • An AGM shall be held once per year, at which members:

    • Receive reports on the Trust’s activities and financial position.

    • Elect Trustees.

    • Vote on any proposed changes to the Constitution.

  • Notice of the AGM shall be given to all members at least 21 days in advance.


7.2 General Meetings

  • The Trustees may call additional General Meetings as necessary.

  • Members may request a General Meeting if at least 10% of members support the request.


7.3 Quorum and Voting

  • A quorum for General Meetings is 10 members or 10% of the membership (whichever is greater).

  • Decisions shall be made by a simple majority vote of those present, except for constitutional amendments which require a two-thirds majority.


8. Finance and Asset Management

  • TVT shall operate as a not-for-profit organisation, with all income used to support its charitable objectives.

  • Proper financial records shall be maintained and independently examined annually.

  • The Trustees shall approve and oversee all expenditures.

  • No member or Trustee shall receive financial benefits from TVT, except for reimbursement of legitimate expenses.


9. Amendments to the Constitution

  • Any proposed amendments must be presented to members at a General Meeting.

  • Amendments require a two-thirds majority of those voting.

  • Changes must comply with Charity Commission regulations.


10. Dissolution

  • If TVT is dissolved, any remaining assets shall be transferred to a charity with similar objectives, in accordance with charity law.

  • A proposal to dissolve TVT must be approved by a two-thirds majority at a General Meeting.


11. Legal and Compliance

  • TVT operates in compliance with the Charities Act 2011 and guidance issued by the Charity Commission for England and Wales.

  • Trustees are responsible for ensuring adherence to relevant policies, including:

    • Data Protection and Privacy

    • Safeguarding

    • Equal Opportunities

    • Health & Safety
